Welcome to Bauxite Networks. These Terms of Service (“Terms”) govern your use of our sovereign artificial intelligence software, models, libraries, and associated documentation (collectively, the "Software").

By downloading, installing, or executing the Software within your infrastructure, you or the entity you represent ("Customer" or "You") agree to these Terms. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity.

1. License Grant & Deployment Scope

1.1 Local Deployment License

Subject to your compliance with these Terms and payment of applicable fees, Bauxite Networks grants you a non-exclusive, non-transferable, revocable license to install and execute the Software strictly within your owned, leased, or privately controlled cloud/on-premise hardware infrastructure ("Local Deployment").

1.2 No SaaS / Reselling

This is an on-premise/private-environment license. You shall not provide the Software as a managed service, time-share, or Software-as-a-Service (SaaS) to third parties without an explicit, separate commercial distribution agreement from us.

2. Intellectual Property & AI Models

2.1 Our Intellectual Property

Bauxite Networks and its licensors retain all right, title, and interest in and to the Software, including source code, object code, proprietary model architectures, underlying model weights, parameters, and optimization configurations.

2.2 Prohibited Reverse Engineering & "Model Extraction"

You explicitly agree not to:

  • Reverse engineer, decompile, or disassemble the Software or model weights.
  • Distill, clone, or extract the model weights, parameters, or internal layers to build competing foundational or derivative AI models.
  • Use the outputs of the Software to train, fine-tune, or validate a directly competing AI model.

2.3 Customer Open-Weights & Extensions

If the Software includes integration with open-weights models (e.g., Llama, Mistral), your use of those specific components is additionally subject to their respective open-source/permissive licenses. Any custom fine-tuning weights generated entirely by your proprietary data belong exclusively to You.

3. Data Ownership & Content Responsibility

3.1 100% Data Ownership

We claim zero ownership over any inputs (prompts, datasets, fine-tuning materials) or outputs (generations, predictions, analysis) processed by the Software. Because the Software operates locally, all such content remains exclusively within your data estate.

3.2 Responsibility for AI Outputs

Because the Software operates entirely within your environment without our oversight, You are solely responsible for:

  • The legality, accuracy, and quality of the data fed into the Software.
  • The validation, deployment, and reliance upon the outputs generated by the Software.
  • Ensuring your use of the AI outputs complies with regional regulations (e.g., the EU AI Act, local copyright laws, or industry-specific compliance standards).

4. Telemetry, Licensing, & Air-Gapped Environments

4.1 Offline License Verification

Consistent with our commitment to absolute technical autonomy, the Software is designed to utilize deterministic, offline cryptographic verification for licensing. The Software does not require a network "heartbeat" or connection to our servers to maintain operational status.

4.2 No Outbound Telemetry

We do not execute remote phone-home cycles or require silent network call-backs. Your deployment remains entirely sovereign and isolated within your controlled environment.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT TO THE EXTENT PROHIBITED BY LAW, BAUXITE NETWORKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

Specifically, because of the probabilistic nature of machine learning and your exclusive control over the local compute environment, we do not warrant that:

  • The Software will generate entirely error-free, accurate, or deterministic outputs.
  • The Software will be free of "hallucinations" or unexpected model behaviors.
  • The Software will achieve specific performance benchmarks if your local hardware configurations (e.g., GPU/VRAM allocations) are insufficient.

6. Limitation of Liability

IN NO EVENT SHALL BAUXITE NETWORKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROPRIETARY DATA, HARDWARE DAMAGE DUE TO IMPROPER GPU COMPUTE OVERCLOCKING, SYSTEM DOWNTIME, OR FINANCIAL LOSSES ARISING FROM RELIANCE ON AI OUTPUTS.

Our total aggregate liability under this agreement shall not exceed the total amount paid by you for the Software license in the twelve (12) months preceding the claim.

7. Termination

7.1 For Cause

Either party may terminate this agreement if the other party materially breaches these Terms and fails to cure the breach within thirty (30) days of notice.

7.2 Data & Software Deletion

Upon expiration or termination of your license, you must immediately cease all use of the Software and permanently delete, purge, or destroy all copies of the Software, binaries, and proprietary model weights from your local servers and private clouds.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles. Any legal action arising out of these Terms shall be filed exclusively in the courts located in Sydney, New South Wales.
